Welcome to DigiAgent AI. These Terms and Conditions (“Terms”) govern your use of our website, services, and software applications. By accessing our website or engaging our services, you agree to be bound by these Terms.


1. Services Provided

DigiAgent AI provides digital solutions, including but not limited to:

  • Custom AI Agents: Voice, WhatsApp, and Web-based autonomous agents.

  • Automation Workflows: Integration of business processes and third-party APIs.

  • Software Development: Web applications, LMS platforms, and E-commerce solutions.

  • Digital Marketing: SEO, Content Marketing, and AI-driven promotions.

2. Client Responsibilities

To ensure the successful delivery of our services, the Client agrees to:

  • Provide accurate and complete information/assets (logos, content, access credentials) required for the project.

  • Review and provide feedback on deliverables within the agreed-upon timelines.

  • Ensure that all business activities conducted via our AI agents comply with local and national laws (including Indian IT laws and GST regulations).

3. Payment Terms & Financials

  • Negotiable Pricing: All service costs are negotiable and will be finalized in a formal “Project Proposal” or “Service Agreement” before work begins.

  • Milestone Payments: Projects typically require a 50% advance payment to commence, with the remaining balance due upon completion or as per agreed milestones.

  • GST: All payments are subject to applicable Goods and Services Tax (GST) as per Government of India norms.

  • Late Payments: Failure to settle invoices within 7 days of the due date may result in a temporary suspension of services or AI agent hosting.

4. Intellectual Property (IP) Rights

  • Agency Rights: DigiAgent AI retains ownership of the underlying proprietary code, AI frameworks, and “Connector” logic used to build the solution.

  • Client Rights: Upon full payment, the Client is granted a non-exclusive license to use the final front-end application or specific custom software for their business operations.

  • Content Ownership: All branding assets provided by the Client remain the property of the Client.

5. Service Level Agreement (SLA) & Uptime

  • While we strive for 99.9% uptime for our AI agents and hosted applications, we are not liable for downtime caused by third-party providers (e.g., OpenAI, Meta/WhatsApp API, AWS, or Internet Service Providers).

  • Scheduled maintenance will be communicated to the Client at least 24 hours in advance.

6. Data Privacy & Security

  • User Data: We prioritize the privacy of your data. We do not sell or share Client data with third parties.

  • Child Privacy: In compliance with EdTech standards (relevant to our partner projects like SikhyaQ), we implement strict data protection for users under 18.

  • Third-Party APIs: Usage of AI models (OpenAI/Anthropic) is subject to their respective privacy policies regarding data processing.

7. Limitation of Liability

  • DigiAgent AI shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) arising from the use of our AI agents or software.

  • The maximum liability of DigiAgent AI for any claim shall not exceed the total amount paid by the Client for the specific service in question.

8. Termination of Service

  • Either party may terminate the agreement with 30 days’ written notice.

  • DigiAgent AI reserves the right to terminate services immediately if the Client engages in illegal activities, provides fraudulent information, or fails to make payments.

9. Refund Policy

  • Due to the nature of digital services and custom software engineering, payments for work already completed are non-refundable.

  • If a project is canceled before commencement, the advance payment may be refunded minus a 10% administrative fee.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Odisha, India.
